VELOCITY 360 USA Training LLC, together with its regional trade names—including but not limited to Velocity 360 Canada, Velocity 360 USA Training, and Velocity 360 Mexico (collectively, “the Company”)—maintains this website, www.velocity360.ca, all courses offered, and related sites (the “Site”) for the use of its customers, vendors, and students (“Users”).
By using this Site, you accept these Terms of Use, which form a binding agreement between you and the Company. If you have any objection to these terms, you must not use this Site.
1. License & Access Restrictions
The Company provides various proprietary materials, including course lessons, quizzes, tests, and reference documents (the “Materials”). Your right to use these Materials is limited as follows:
Streaming & Proprietary Presentations (Non-Downloadable): Course lessons—including those presented via PowerPoint, PDF, or video players—and all quizzes and tests are for on-site viewing only. Users are strictly prohibited from downloading, printing, screen-capturing, or otherwise recording these presentations.
Student Handouts (Downloadable): Users are granted a limited license to download and print one (1) copy of designated reference documents intended for field use, such as Quick Reference Guides, Audit Checklists, and Gap Assessment Checklists.
General Restrictions: You may not modify, share, distribute, or create derivative works from any Materials. Any attempt to "scrape" data or bypass technical viewing restrictions is a violation of this agreement and will result in immediate termination of access.
2. User Warranty & Non-Compete
As a User, you warrant that you are not an agent or employee of any other test preparation or training company. You agree to use the Site and Materials solely for the purpose of personal professional training and development. You are prohibited from using these Materials to develop or promote a competing training product.
3. Account Security
Access is granted to a single individual per purchase.
No Sharing: Sharing login credentials with any other person or entity is strictly prohibited.
Responsibility: You are responsible for maintaining the confidentiality of your account. The Company reserves the right to terminate access without refund if suspicious login patterns are detected.
Audit Rights: The Company reserves the right to audit account logs to ensure compliance with the "one user per license" policy.
4. Pricing, Currency, and Promotional Codes
Currency: All prices listed on www.velocity360.ca are in Canadian Dollars (CAD).
Tax Disclosure: Prices displayed on course information and landing pages are exclusive of applicable sales taxes.
Checkout & Itemization: Total applicable taxes—including but not limited to GST, HST, and/or PST/QST for Canadian residents, or applicable state and local taxes for international purchasers—will be calculated at the time of checkout. Users will be provided with an itemized summary of the base price and all applicable taxes for review prior to completing their purchase.
Promotional Codes: These are non-transferable and may only be used by the intended audience. The Company reserves the right to void any transaction if a code is used in an unauthorized, fraudulent, or unintended manner.
5. Trademark & Copyright
All brands, trademarks, and course content are the exclusive property of the Company. The Materials are copyrighted, and any unauthorized use may violate copyright, trademark, and other international intellectual property laws.
6. No Warranty
The Materials are provided “as is” without warranties of any kind. The Company does not warrant the accuracy or completeness of the Materials and may make changes to content, services, or prices at any time without notice.
7. Limitation of Liability & Force Majeure
In no event will the Company or its suppliers be liable for any damages (including, without limitation, lower test scores, loss of data, or service interruptions) arising out of the use or inability to use this Site.
Force Majeure: The Company shall not be liable for failures resulting from causes outside its reasonable control, including cyber-attacks, server outages, or acts of God.
8. Indemnification
You hereby indemnify to the fullest extent the Company from and against any and all liabilities, costs, and expenses (including reasonable attorney’s fees) arising out of your breach of any of these Terms.
9. Refund Policy & Rescission of Service
Refunds: There shall be no refunds, credits, or exchanges. All sales are final.
Discretionary Refunds: In the event the Company, in its sole discretion, elects to issue a full or partial refund as a gesture of goodwill, such refund constitutes a full rescission of the sale.
Immediate Termination upon Refund: If a refund is processed for any reason, the User’s access and enrollment shall be terminated immediately without further notice.
Access Term: Users shall have access to purchased Materials for one (1) year from the purchase date.
10. Right to Refuse Service & Professional Conduct
The Company reserves the right to refuse service or terminate accounts at its sole discretion for reasons including:
Unprofessional, harassing, or threatening communication with Company staff.
The filing of groundless or exploitative disputes or regulatory complaints.
A stated lack of trust or reliability in the Company’s materials.
11. 3-Year Certification Renewal
All "Certificates of Competence" are issued for a period of three (3) years. To maintain active credentials, the User must complete the most recent version of the course at the then-current renewal price.
12. Governing Law & Mandatory Arbitration
Regardless of the User’s location or the regional trade name used, these Terms are governed by the laws of the State of Florida, USA.
Arbitration: Any dispute shall be resolved via binding arbitration in Florida, USA under the rules of the American Arbitration Association.
Class Action Waiver: You agree to resolve disputes on an individual basis only and waive any right to participate in a class-action lawsuit.
Language: It is the express wish of the parties that these Terms and all related documents be drawn up in English. (Il est de la volonté expresse des parties que les présentes conditions et tous les documents s'y rattachant soient rédigés en anglais.)
13. Regional Trade Names & International Use
Velocity 360 Canada (www.velocity360.ca) is a trade name and digital property of VELOCITY 360 USA Training LLC, a Florida-based company.
Cross-Border Use: While this Site is intended for the Canadian market, it may be accessed by Users globally. By purchasing from this Site, you explicitly agree that the transaction is governed by these Terms—including the Florida Governing Law (Section 12) and the Refund Policy (Section 9)—regardless of your physical location.
Jurisdiction & Currency: While transactions on this domain are processed in CAD for convenience, you agree that the service is provided by a Florida-based entity. The Company is not responsible for external bank fees or fluctuations in exchange rates applied by the User's financial institution.
14. Severability & No Waiver
If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect. The failure of the Company to enforce any right or provision shall not be deemed a waiver of such right.
15. Changes to Terms
The Company reserves the right to revise these Terms at any time. Your continued use of the Site following the posting of any changes constitutes your acceptance of the updated Terms.
